2. General provisions
These Terms & Conditions define the rights and obligations of the parties in connection with illustration, art direction, graphic design, editorial design, packaging, commissioned artwork, motion and animation, creative consulting and any other creative service expressly agreed upon in a quotation.
They also apply to products sold through the Saint-Fleur online shop.
Each creative project is subject to a quotation specifying the scope of work, deliverables, fees, timeline and, where applicable, the scope of the rights granted to the Client.
The quotation and these Terms & Conditions together constitute the contractual framework governing the project.
By accepting a quotation, the Client confirms that they have read and accepted these Terms & Conditions.
3. Creative services
Saint-Fleur provides creative services including illustration, art direction, graphic design, editorial design, packaging, advertising artwork, visual identities, campaign visuals, commissioned artwork, motion and animation, and creative consulting.
The exact scope of each project is defined in the corresponding quotation.
Any service, deliverable or usage not expressly included in the quotation is not included in the agreed fee.
4. Client responsibilities
The Client agrees to provide all information, content, documents and materials necessary for the project within the agreed timeframe.
The Client is responsible for ensuring that they have the necessary rights to use any materials supplied to Saint-Fleur.
The Client agrees to provide accurate and complete information, communicate feedback and approvals clearly, respect agreed deadlines and pay invoices within the timeframe indicated on the invoice.
The Client is responsible for the accuracy and legality of any text, image, logo, photograph, trademark or other material supplied by them.
Any delay in providing the necessary information or feedback may result in a corresponding change to the project schedule.
5. Saint-Fleur's responsibilities
Saint-Fleur agrees to carry out the agreed services professionally and in accordance with the creative direction defined with the Client.
Saint-Fleur will keep the Client reasonably informed of the progress of the project and will submit the relevant stages for approval where applicable.
Saint-Fleur remains free to determine the artistic and technical methods used to produce the work, unless specific technical requirements have been agreed upon in writing.
6. Quotations and acceptance
Each project is subject to a written quotation.
The quotation specifies, where applicable, the nature of the services, deliverables, number of creative directions, number of revision rounds, timeline, fees, payment schedule, usage rights, territory and duration of the rights granted.
The quotation becomes binding once it has been accepted by the Client.
Electronic acceptance, written confirmation or payment of the agreed deposit may constitute acceptance of the quotation.
7. Deposit and start of work
Unless otherwise stated in the quotation, an initial deposit may be required before work begins.
The amount of the deposit is specified in the quotation.
Creative work begins once the quotation has been accepted and, where applicable, the required deposit has been paid.
8. Revisions and changes
The number of revision rounds included in the project is specified in the quotation.
A revision means a reasonable modification of an existing proposal within the original creative direction.
A substantial change in direction, a new concept, a new creative brief or additional deliverables may constitute additional work and may be invoiced separately.
Requests made after final approval may also be charged separately.
Any additional work will be discussed with the Client before being carried out whenever reasonably possible.
9. Approvals
The Client is responsible for carefully reviewing the work submitted for approval.
Approval may be given by email or by any other written means agreed upon by the parties.
Once a stage or final artwork has been approved, subsequent changes requested by the Client may be charged additionally.
Where no feedback or request for modification is received within 15 calendar days following delivery of a stage submitted for approval, Saint-Fleur may consider the stage approved, unless otherwise agreed in writing.
10. Additional costs
Unless expressly included in the quotation, additional expenses may be charged separately.
These may include specialist fonts or licences, stock images, third-party assets, printing or production costs, physical materials, shipping, travel and accommodation, specialist production services, additional rounds of revisions, additional formats or deliverables, and rush work requested by the Client.
Any significant additional expense will be communicated to the Client before it is incurred whenever reasonably possible.
11. Fees and payment
All fees are stated in euros (€), unless otherwise specified.
Payment terms are those indicated on the quotation and/or invoice.
Unless otherwise agreed, invoices are payable by bank transfer.
For projects involving an initial deposit, the remaining balance is invoiced upon completion of the project.
The final files may be delivered to the Client upon completion of the project, before the corresponding invoice is issued.
The invoice is issued at the time of delivery and is payable within the timeframe indicated on the invoice.
Late payments may result in statutory late-payment penalties and the fixed recovery fee applicable under French law for professional clients.
Where a payment remains outstanding, Saint-Fleur may suspend any further work or services.
12. Cancellation
If the Client cancels a project after work has started, the Client remains responsible for work already completed, work in progress and expenses already incurred.
The deposit already paid may be retained to cover work undertaken and costs incurred, subject to applicable law and the specific terms of the quotation.
If a project is cancelled after substantial work has been completed, Saint-Fleur may invoice the proportion of the project already completed.
13. Intellectual property
All original creative work produced by Saint-Fleur is protected by French and international intellectual property laws.
Unless expressly stated otherwise, copyright and intellectual property rights remain with Saint-Fleur.
The Client does not acquire ownership of the underlying artwork merely by paying for the creative service.
The transfer or licence of exploitation rights is determined by the quotation and/or a specific rights agreement.
14. Scope of rights granted
Unless otherwise stated in writing, any rights granted to the Client are limited to the uses expressly identified in the quotation.
A rights grant may specify the medium, type of use, territory, duration, distribution and commercial purpose.
Any use outside the agreed scope requires prior written agreement and may result in additional licensing fees.
The following uses are not automatically included unless expressly agreed: merchandising, resale of the artwork, sublicensing, transfer to third parties, use in new campaigns, use in new territories, use beyond the agreed period, modification of the artwork or use for purposes substantially different from those originally agreed.
15. Source files
Working files, layered files, sketches and other source files are working documents and are not considered finished deliverables.
These files are therefore not provided to the Client unless expressly agreed in the quotation.
The final deliverables provided to the Client are limited to the formats and files specified in the quotation.
16. Moral rights
Saint-Fleur retains the moral rights attached to original works to the extent provided by applicable law.
Any substantial modification, distortion or alteration of an original artwork should therefore be discussed with Saint-Fleur beforehand.
17. Portfolio and self-promotion
Unless the Client expressly requests confidentiality in writing before the project begins, Saint-Fleur may display completed work on its website, portfolio, social media, professional presentations, award submissions, exhibitions and other promotional materials.
Saint-Fleur may identify the Client and describe the nature of the project for portfolio and professional communication purposes.
Confidential or unreleased projects will not be publicly displayed before the Client's agreed release date.
18. Credits
Where reasonably possible, the Client agrees to credit Saint-Fleur as the illustrator, artist or creative contributor when the format and context allow it.
Any specific credit requirements should be agreed upon in advance.
19. Delivery
Final files are delivered in the formats specified in the quotation.
The final deliverables are sent to the Client upon completion of the project.
The corresponding invoice is issued at the time of delivery and is payable according to the payment terms stated on the invoice.
Saint-Fleur is not responsible for technical problems caused by third-party platforms, printers, manufacturers or other service providers after the final files have been delivered.
20. Timelines
Project timelines are estimates unless a specific delivery date has been expressly agreed in writing.
Timelines depend on the Client providing the required information, materials and approvals on time.
Any delay caused by the Client may result in a corresponding extension of the delivery date.
21. Illness, accident and force majeure
Saint-Fleur may reasonably adjust project timelines in the event of illness, accident or other circumstances preventing the Artist from performing the services.
Neither party shall be considered in breach of contract where failure to perform is caused by a force majeure event recognised under applicable French law.
The affected party will inform the other party as soon as reasonably possible.
22. Products
Saint-Fleur sells art prints and other artistic products through its online shop.
Each product page provides the principal characteristics of the product, including dimensions, format and materials where relevant.
Colours may vary slightly depending on the customer's screen, printing process and materials.
23. Shop prices
All shop prices are displayed in euros (€).
Unless otherwise stated, applicable taxes are included in the displayed price.
Shipping costs are indicated separately before the order is confirmed.
Saint-Fleur reserves the right to change prices at any time. Such changes do not affect orders already confirmed and paid for.
24. Shop orders
The Customer selects the products they wish to purchase and adds them to the shopping cart.
Before confirming the order, the Customer may review and correct their order.
An order becomes binding once the Customer confirms the purchase and completes payment.
An order confirmation is sent by email.
Saint-Fleur reserves the right to cancel an order in the event of a technical error, suspected fraud, stock issue or other legitimate reason. Any payment already received for a cancelled order will be refunded.
25. Shop payment
Payment is made using the payment methods available on the website.
Payment must be successfully completed before the order is prepared and dispatched.
Saint-Fleur does not store complete payment card details.
26. Delivery of shop orders
Products are delivered to the address provided by the Customer.
Estimated delivery times and shipping costs are indicated during the ordering process.
Delivery times may vary depending on the destination and carrier.
Saint-Fleur cannot be held responsible for delays caused by the carrier or by circumstances beyond its reasonable control.
The Customer is responsible for providing an accurate delivery address.
27. Right of withdrawal
For purchases made by consumers online, the Customer generally has a legal 14-day right of withdrawal, in accordance with applicable French consumer law.
The withdrawal period begins on the day after the Customer, or a third party designated by the Customer, receives the goods.
The Customer may exercise this right by contacting hello@saintfleur.fr.
The Customer must return the goods within the applicable legal period.
Unless otherwise provided by law, the direct cost of returning the goods is borne by the Customer.
Saint-Fleur will reimburse the Customer in accordance with applicable law.
28. Exceptions to the right of withdrawal
The right of withdrawal does not apply to products made to the Customer's specifications or clearly personalised products where the legal conditions for this exception are met.
Any such exception will be indicated before the order is placed.
29. Damaged or incorrect products
If a product arrives damaged, defective or does not correspond to the order, the Customer should contact hello@saintfleur.fr as soon as reasonably possible.
The Customer may be asked to provide photographs of the product and packaging to help assess the situation.
Nothing in these Terms limits the Customer's statutory rights.
30. Legal guarantees
Consumers benefit from the mandatory legal guarantees provided under French law, including the legal guarantee of conformity and the legal guarantee against hidden defects.
These guarantees apply independently of any commercial guarantee that Saint-Fleur may offer.
31. Shop intellectual property
Purchasing a physical print or other product does not transfer copyright in the artwork.
The Customer may use and display the purchased physical product for personal purposes.
The artwork may not be reproduced, scanned, digitised, commercially exploited, resold as an image, modified for commercial purposes or used to create derivative products without prior written permission from Saint-Fleur.
32. Personal data
Personal data collected through the website is processed in accordance with applicable data protection legislation, including the GDPR.
Further information is available in the Privacy Policy available on the website.
33. Applicable law
These Terms & Conditions are governed by French law.
Where a dispute cannot be resolved amicably, consumers retain the right to bring proceedings before any competent court under applicable law.
Nothing in these Terms limits any mandatory rights granted to consumers by applicable legislation.
